These Terms of Service ("Terms") govern your use of the fmnfc FileMaker NFC plug-in (the "Product") and related services operated by Atsushi Masachika ("we", "us", "our"), a sole proprietorship under Japanese law. By downloading, installing, purchasing, or using the Product, you agree to all of these Terms.
1. Definitions and Scope
- Product: The fmnfc FileMaker plug-in, which reads NFC card UIDs and returns them to FileMaker.
- License: The right to use the Product under these Terms, issued upon purchase.
- You / Licensee: The individual who purchases or uses the Product.
These Terms apply to all users, including those who download the free sample version. Commercial disclosures required under Japanese law are provided on our Legal Notice page.
2. License Grant and Scope
- We grant you a non-exclusive, non-transferable license to use the Product for one (1) year from the date of purchase.
- The license is a Single license: it is for your own use only.
- One machine at a time: The license permits use on one machine at a time. You may move the license to a different machine (e.g., due to hardware failure or replacement) without a limit on the number of moves, but the Product may only be actively used on one machine at any given time.
- No transfer: You may not transfer, resell, lend, sublicense, or otherwise provide the license to any third party. Moving the license between your own machines (Section 2.3) is not considered a transfer under this Section.
-
The license file (
fmnfc-license.json) is placed in the same folder as the plug-in. Per-solution licensing is not supported.
3. Prohibited Conduct
You may not:
- Reverse engineer, decompile, or disassemble the Product, except where such restriction is prohibited by applicable law;
- Redistribute, resell, lend, or share the Product or license file with third parties;
- Create a competing product that incorporates the Product;
- Remove or alter any copyright, trademark, or other proprietary notices;
- Use the Product for any unlawful purpose.
4. Pre-Purchase Verification and Refunds
- We strongly recommend testing the free sample version on your environment before purchasing, to verify compatibility.
- Due to the digital nature of the Product, all sales are final. We do not accept returns, refunds, or cancellations after payment is completed, and no pro-rated refunds are issued for the unused portion of the license term. This Section applies to returns where the Product conforms to the contract and we are not in breach; it does not affect any statutory right to cancel, or to claim damages or other remedies, arising from our non-performance or from the Product's non-conformity with the contract.
- Exception (failure attributable to us): If a license file is not delivered to you, or fails to function, due to a technical error or defect attributable to us — and re-delivery or repair cannot be completed within a reasonable time — we will issue a full refund. Nothing in this Section limits any liability that cannot be excluded or limited under applicable consumer-protection law.
- Detailed commercial terms are set out on the Legal Notice page.
5. Support Scope
- Included: License issuance, re-issuance, bug fixes for the Product, and assistance with delivery problems (e.g., license email not received).
- Not included: Individual development support, customization of your FileMaker solution, and issues caused by FileMaker itself or third-party software.
- Support is provided primarily via email at contact@fmnfc.com. Response timing and channels are as described on the Legal Notice page.
6. Disclaimer and Limitation of Liability
- The Product is provided "as is". To the extent permitted by applicable law, we disclaim implied warranties not expressly stated in these Terms.
- Limitation for ordinary negligence: To the extent permitted by law, our total liability for damages arising from our ordinary (slight) negligence is limited to the amount you paid for the license.
- Willful misconduct or gross negligence: The limitation in Section 6.2 does not apply to damages caused by our willful misconduct or gross negligence; in such cases, liability follows applicable law.
- Digital defects: If the Product or license file fails to function due to a defect attributable to us, our responsibility is to re-deliver or repair the Product, or to refund the purchase price, as set out in Section 4.3.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including the Consumer Contract Act of Japan).
7. License Term, Renewal, and Suspension
- The license is valid for one (1) year from the date of purchase.
- This is a non-recurring, one-time payment. The license does not auto-renew, and you will not be automatically charged after the term ends. To continue using the Product, purchase a new license manually.
- Suspension / revocation: We may suspend or revoke your license if you breach these Terms, use the Product fraudulently, or initiate an unwarranted chargeback. We will not exercise this right arbitrarily and will act in good faith.
8. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page, and the Last Updated date and Version at the top will be updated accordingly. For material changes, we may request renewed consent at the next checkout. We do not send email notifications about Terms updates; please check this page periodically.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
